These Terms and Conditions govern the relationship between Stellar Spaces Interior Design ("Stellar Spaces", "we", "us"), and any client ("you", "the Client") who engages our services.

By signing a proposal, paying a deposit, or otherwise confirming a project engagement, you agree to these terms in full.

Services

Stellar Spaces provides short-term rental interior design and guest experience consulting services, including but not limited to:

  • The Essential Design Brief

  • Performance Remote Package

  • All-Inclusive Implementation Package

  • Any other services described in a project proposal

The specific scope, deliverables, timeline and fees for each project are set out in the project proposal or service agreement provided to you before work begins. These Terms and Conditions apply to all engagements unless a separate written agreement specifies otherwise.

Proposals and Acceptance

A project begins when you have confirmed acceptance of a proposal and paid the required deposit. Proposals are valid for 30 days from the date of issue. After 30 days, pricing and availability may change.

We reserve the right to decline a project at our discretion before work has commenced. If we decline after a deposit has been paid, the full deposit will be refunded.

Fees and Payment

Deposit A deposit is required before any work begins. The deposit amount is specified in the project proposal. All deposits are non-refundable unless Stellar Spaces cancels the project (see Section 7).

Payment schedule For multi-phase projects, payments are structured according to a payment calendar provided in the project proposal or invoice. Payments are due at the milestone dates specified.

Payment methods We accept payment by bank transfer and Stripe. Payment details are provided on each invoice.

Late payment Invoices are due within 30 days of issue. A late payment charge of 2% per month (24% per year) applies to any outstanding balance after 30 days. We reserve the right to pause work on a project until overdue amounts are settled.

Currency Fees may be quoted in EUR or CAD depending on the client's location. The currency will be specified in the proposal.

Client Responsibilities

The quality of our work depends in part on the information and access you provide.

You agree to:

  • Complete the intake questionnaire or provide all requested project information within the agreed timeline

  • Provide accurate information about the property, constraints, budget and goals

  • Respond to questions and requests for feedback within a reasonable time to avoid delaying the project

  • Ensure we have access to any property information, measurements, photos or documents needed to complete the work

Delays caused by incomplete or late information from the client may affect the project timeline and are not the responsibility of Stellar Spaces.

Deliverables and Revisions

Design Brief The Design Brief is delivered as a strategic PDF document within the timeline specified in the proposal, typically within two weeks of receiving the completed intake. Following delivery, you have 10 business days to review the document and request clarifications or adjustments. We will address reasonable revision requests once within this window.

Larger packages Larger service packages include two video consultation calls for deliverable review and a maximum of one revision round per deliverable. Additional revision rounds beyond what is included may be available at an additional fee, to be agreed in advance.

Fit check and refund For the Design Brief specifically, if after reviewing your intake we determine the project is not a good fit for our services, we will notify you before beginning work and issue a full refund.

Cancellation

Client cancellation If you cancel a project after the deposit has been paid, the deposit is non-refundable. If work has already begun on a phase for which a milestone payment has been made, that payment is also non-refundable for work already completed. Any payments made for future phases not yet started will be refunded.

Stellar Spaces cancellation If we need to cancel a project due to circumstances on our side such as illness or capacity, we will notify you as soon as possible and refund all amounts paid for work not yet delivered, including the deposit.

Intellectual Property

Ownership Stellar Spaces retains copyright over all creative work produced, including design concepts, documents, presentations, moodboards, and written deliverables.

Client licence Upon receipt of full payment for the relevant phase, we grant you a non-exclusive, non-transferable licence to use the deliverables for the purpose for which they were created, specifically to improve, furnish, and operate your rental property. You may use the concept and recommendations without engaging Stellar Spaces for execution.

Portfolio rights We retain the right to use images, photos, descriptions and outcomes from completed projects in our portfolio, website, social media, presentations and marketing materials. Where possible we will anonymise property details or obtain your consent before naming your property publicly. You may request anonymisation at any time by contacting us.

Confidentiality

We treat all information you share with us as confidential and will not disclose it to third parties except where required to deliver the services (for example, sharing measurements with a supplier) or where required by law.

Limitation of Liability

Stellar Spaces is a design consultancy. We provide strategic recommendations based on our expertise and the information you provide. We do not guarantee specific financial outcomes such as revenue increases, occupancy rates, or review scores, as these depend on factors outside our control.

Our total liability to you in connection with any project is limited to the total fees paid by you for that project. We are not liable for any indirect, consequential, or incidental losses.

Results Disclaimer

Design and guest experience improvements can significantly impact a property's performance, but outcomes vary based on many factors including location, market conditions, pricing strategy, platform algorithms, and operational decisions made by the property owner. Nothing in our materials, scorecard, proposals or communications constitutes a guarantee of specific results.

Governing Law

These Terms and Conditions are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from these terms or from a project engagement shall be subject to the exclusive jurisdiction of the courts of Quebec, Canada.

Changes to These Terms

We may update these Terms and Conditions from time to time. The version in effect at the time your project proposal is accepted will apply to that project. We will notify active clients of any material changes.
